    Erh.. not quite.. almost there, what you have is that if X'X + a*I is not invertible then X'X has a negative eigenvalue.. it doesn't rule out the possibility of it not having positive numbers or zero as an eigenvalue. Oh sorry by the way, ' is not exactly transpose.. it's conjugate transpose...
